1. Acceptance of Terms

By accessing or using Clubedge Events, you confirm that you are at least 16 years old and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, you must not use the platform.

If you are using the platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Promptly update your account information if it changes.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

3. User Roles & Responsibilities

3.1 Attendees

As an attendee, you may browse events, register for events, and follow organizers. You agree to:

• Provide accurate registration information.
• Comply with event-specific rules set by organizers.
• Not transfer or resell tickets unless explicitly permitted.

3.2 Organizers

As an organizer, you may create and manage events on the platform. You agree to:

• Provide accurate and complete event information.
• Honor ticket commitments and event descriptions.
• Handle attendee data in compliance with applicable privacy laws.
• Maintain appropriate insurance and permits for your events.
• Not use the platform for illegal, fraudulent, or misleading events.

4. Events & Tickets

Clubedge Events provides the technology platform connecting organizers and attendees. We are not the organizer of events listed on the platform and do not guarantee the quality, safety, or legality of any event.

• Event details (dates, location, pricing) are set by the organizer and may change.
• Ticket availability is subject to organizer-defined limits and conditions.
• We reserve the right to remove events that violate these Terms.

5. Payments & Refunds

All payments are processed securely through our third-party payment processor (Stripe).

• Ticket purchases: payment terms and pricing are set by the event organizer.
• Refund policy: refund eligibility is determined by each organizer's refund policy. Clubedge is not responsible for issuing refunds for organizer-managed events.
• Platform fees: Clubedge may charge service fees on transactions, which will be clearly disclosed before purchase.
• Disputes: if you have a payment dispute, contact the event organizer first. If unresolved, contact us at support@clubedge.live.

6. Conduct & Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or activity.
• Impersonate any person or entity.
• Post false, misleading, or fraudulent event listings.
• Harass, abuse, or threaten other users.
• Attempt to gain unauthorized access to the platform, other accounts, or systems connected to the platform.
• Scrape, crawl, or use automated tools to extract data without written permission.
• Upload malicious code, viruses, or other harmful content.
• Interfere with or disrupt the integrity or performance of the platform.

7. Content & Intellectual Property

7.1 Your Content

You retain ownership of content you upload (event descriptions, images, etc.). By uploading content, you grant Clubedge a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of operating and promoting the platform.

7.2 Our Content

The Clubedge name, logo, design, and all platform software are owned by Clubedge Inc. and protected by intellectual property laws. You may not copy, modify, or distribute our content without written permission.

7.3 DMCA / Copyright

If you believe content on the platform infringes your copyright, contact us at legal@clubedge.live with a detailed notice including identification of the copyrighted work and the infringing material.

8. Suspensions & Termination

We may suspend or terminate your account if you:

• Violate these Terms or any applicable laws.
• Engage in fraudulent, abusive, or harmful behavior.
• Create events that are misleading or violate community standards.
• Fail to respond to reports or complaints from other users.

You may delete your account at any time through your account settings. Account deletion is subject to our Privacy Policy data retention terms.

9. Disclaimers & Limitations

The platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Clubedge shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including loss of profits, data, or business opportunities.

Our total liability for any claim arising from these Terms or the platform shall not exceed the amounts paid by you to Clubedge in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Clubedge Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the platform.
• Your violation of these Terms.
• Your violation of any rights of a third party.
• Any content you upload to the platform.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Clubedge Inc. is incorporated. Any disputes arising from these Terms shall be resolved through binding arbitration or in the competent courts of that jurisdiction.

12. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 30 days before they take effect. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
